Color Vibe Challenge Participant Agreement - Sunaofe

This Participant Agreement (the “Agreement”) is entered into by and between Sunaofe Sunon Technology Co., Ltd., located at: 2523 Hamill Avenue, and the participant (the “Participant”) in the “Color Vibe Challenge” Contest (the “Contest”).

By entering the Contest, the Participant agrees to abide by the rules, terms, and conditions outlined in this Agreement, as well as the official Contest rules.

 

1. Eligibility

1.1 To be eligible to participate in the Contest, the Participant must be at least 18 years old at the time of entry.
1.2 The Participant must have an Instagram account with at least 5,000 followers and submit their social media handle for consideration during the selection process.
1.3 The Participant must be a legal resident of the United States.

 

2. Contest Participation

2.1 The Participant agrees to create and submit a creative video showcasing their experience with a chair from the Resistance Collection.
2.2 The Participant agrees to follow all instructions provided by Sunaofe during the Contest, including using the hashtag #SunaofeVibe in their submission.
2.3 The video must be submitted by the deadline specified in the Contest announcement (May 15, 2025).
2.4 Selected Participants will receive a Resistance Collection chair of their choice, which they are required to retain after submission.

 

3. Prize

3.1 The Contest prize consists of $500 (USD), to be awarded via bank transfer or PayPal.
3.2 In addition to the monetary prize, selected Participants will receive the Resistance Collection chair as a gift.
3.3 Additional prizes include $100 discount codes for runners-up and $20 discount codes as participation rewards.
3.4 The prize is non-transferable, and no cash or other substitutions will be allowed.

 

4. Grant of Rights

4.1 By entering the Contest, the Participant grants Sunaofe a worldwide, royalty-free, non-exclusive license to use the submitted video for promotional purposes on social media, marketing materials, and other platforms associated with the Company. Sunaofe will credit the Participant by tagging their Instagram handle whenever their video is shared.
4.2 Sunaofe retains the right to edit and modify the video for use in promotional materials, including but not limited to social media and digital campaigns.
4.3 The Participant warrants that the video does not infringe upon any third-party rights, including intellectual property rights.

 

5. Intellectual Property

5.1 The Participant maintains ownership of their video but grants Sunaofe permission to use, showcase, and share the content for purposes related to the Contest. Sunaofe will ensure proper credit by tagging the Participant’s Instagram handle whenever the video is featured.
5.2 The Participant confirms they have full rights to submit the video and all associated materials for the Contest.

 

6. Liability and Disclaimers

6.1 The Participant agrees to indemnify and hold harmless Sunaofe from any claims, damages, or liabilities arising from the submission of the video, including any infringement of third-party intellectual property rights or injuries sustained while creating or submitting the video.
6.2 Sunaofe is not liable for any loss, injury, or damage caused by participating in the Contest.

7. Confidentiality

7.1 The Participant agrees to keep any proprietary or confidential information received from Sunaofe during the Contest confidential, unless disclosure is required by law.
7.2 This includes any non-public details about the Resistance Collection or the Contest process.

8. No Affiliation

8.1 The Participant acknowledges that this Contest is not affiliated with Instagram or any other social media platform and that the platforms are merely used as tools for participation.
8.2 Sunaofe releases Instagram and its affiliates from any liability related to the Contest.

9. Termination and Disqualification

9.1 Sunaofe reserves the right to disqualify any Participant for failure to comply with the Contest rules or the terms outlined in this Agreement.
9.2 If a Participant is disqualified, they will forfeit their prize, and the prize may be awarded to an alternate Participant.
9.3 Sunaofe can terminate the Contest at any time without prior notice, in which case no prize will be awarded.

10. Governing Law

10.1 This Agreement is governed by and construed in accordance with the laws of California, USA.
10.2 Any disputes arising from or related to this Agreement shall be resolved in the competent courts located in California, USA.

11. Miscellaneous

11.1 This Agreement represents the entire understanding between Sunaofe and the Participant regarding the Contest and supersedes any prior agreements or understandings.
11.2 Sunaofe reserves the right to modify or amend this Agreement at any time, provided that the Participant is notified of such changes.

 

 

BY PARTICIPATING IN THIS CONTEST, YOU AGREE TO ALL TERMS AND CONDITIONS OUTLINED IN THIS AGREEMENT.
